March 14, 2007 Liquidating Distribution

On March 14, 2007, the AMV Liquidating Trust ("Trust") paid a liquidating distribution of $0.43 per unit to beneficial holders of record as of December 27, 2006. The Trust recommends that the beneficial holders consult with their tax advisor if they have any questions about the taxability of the distribution.

December 27, 2006 non-cash distribution

On February 26, 2007, the AMV Liquidating Trust ("Trust") notified beneficial holders of a non-cash distribution of $0.5412 per unit from AmeriVest Properties Inc. to the Trust on December 27, 2006. This distribution is treated for federal income tax purposes as though it were distributed to the beneficial holders and then contributed to the Trust.

Some or all of the amount of the 2006 distributions may be taxable to the beneficial holders, and the beneficial holders should consult with their tax advisor if they have any questions about the taxability of the distributions.
